# Dottr
> An email-native AI agent for contracts. CC dottr@dottr.io on any thread and
> Dottr reviews the contract against your playbooks, flags the risks in plain
> English, prepares the document for signature and chases every signer to close.
Dottr is made by Billions Dots Inc. It works from your inbox, there is no new
tool for you to learn and no login for the other side.
The complete text of every page, playbook and template is available as a single
document at https://www.dottr.ai/llms-full.txt, prefer it if you need the content rather
than the map, since the playbook and template bodies open in a dialog and are
not in the pages' static HTML.

## Playbooks
- **Mutual NDA Playbook** (NDA, 35 rules): Positions for a mutual non-disclosure agreement: reciprocal definitions, the scope of confidential information, permitted disclosures and the survival period.
- **MSA Playbook** (Service agreement, 57 rules): Positions for a master services agreement: service levels, payment terms, liability caps, indemnities, limitation of damages and the exit ramp.
- **Contractor Agreement Playbook** (Service agreement, 45 rules): Positions for an independent contractor or consultant engagement: classification, IP assignment, deliverables, expenses and termination for convenience.
- **Employment Agreement Playbook** (Employment agreement, 42 rules): Positions for an employment agreement: compensation, notice and termination, restrictive covenants, invention assignment and post-employment obligations.
- **SOW Playbook** (Service agreement, 41 rules): Positions for a statement of work: scope and deliverables, acceptance criteria, change control, milestones and how overruns get paid for.
## Templates
- **Board Resolution (India)** (Board resolution, 12 clauses): Board minutes for an Indian company, recording notice, quorum, declarations of interest and the voting on each resolution as the Companies Act expects.
- **Board Resolution (US)** (Board resolution, 13 clauses): Minutes of a board meeting for a US company, with quorum, notice and conflicts recorded properly, plus a written consent in lieu of meeting as an alternative.
- **Independent Contractor Agreement (India)** (Contractor, 15 clauses): The India contractor agreement, with GST and TDS handled in the payment clause and moral rights waived explicitly in the IP assignment.
- **Independent Contractor Agreement (US)** (Contractor, 14 clauses): A US contractor agreement with the misclassification question handled head-on, and state caveats flagged inline for California, New York, Massachusetts, Illinois and Washington.
- **Employment Agreement (India)** (Employment, 22 clauses): An India employment agreement written around CTC rather than base salary, with probation, notice periods, statutory benefits, POSH and the new labour codes addressed directly.
- **IP Assignment Agreement (US)** (IP assignment, 12 clauses): A present assignment of intellectual property from a founder, employee or contractor to the company, with the state-law limits on invention assignment set out in their own exhibit.
- **Master Services Agreement (India)** (MSA, 16 clauses): The India-law counterpart to the US MSA, drafted for B2B services. Adds GST handling, Indian data protection and an arbitration clause seated in India.
- **Master Service Agreement (US)** (MSA, 16 clauses): The umbrella contract you sign once with a client, with the per-project detail left to statements of work. Carries IP, confidentiality, data security, indemnities and a capped liability clause.
- **Mutual NDA (short form)** (NDA, 11 clauses): A two-way NDA kept deliberately short, with no governing-law assumption baked in and an explicit statement that it creates no non-compete or non-solicit obligation.
- **Non-Compete and Non-Solicitation (India)** (Non-compete, 11 clauses): The India restrictive covenant agreement, written around section 27 of the Indian Contract Act: during-term restraint is enforceable, post-term restraint largely is not, and the drafting says so.
- **Non-Compete and Non-Solicitation (US)** (Non-compete, 11 clauses): A standalone US restrictive covenant agreement, with the consideration and reasonableness clauses that decide whether it is enforceable at all.
- **Offer Letter (India)** (Offer letter, 22 clauses): An India offer letter built on cost to company, with the statutory pieces — provident fund, gratuity, notice period and leave — set out where a candidate expects to find them.
- **Offer Letter (US)** (Offer letter, 16 clauses): A US offer letter that is short enough to send and complete enough to rely on: role, pay, equity, at-will status and the contingencies the offer is subject to.
- **One-way NDA (disclosing party)** (NDA, 11 clauses): The one-way NDA drafted from the discloser's side: a broad definition of confidential information and obligations that sit entirely with the other party.
- **One-way NDA (receiving party)** (NDA, 11 clauses): The same one-way NDA drafted from the receiving side: a narrower definition, a defined term, and obligations that end rather than run indefinitely.
- **Privacy Policy (India)** (Privacy, 14 clauses): An India privacy policy built around SPDI and the DPDP framework, including the grievance officer and cross-border transfer sections Indian law expects to see.
- **Privacy Policy (US)** (Privacy, 13 clauses): A US privacy policy covering what you collect, why, who you share it with and the state rights that now attach to it, with named sections for CCPA/CPRA and the newer state laws.
- **Statement of Work (India)** (SOW, 18 clauses): The India-law statement of work for B2B engagements, with the same scope and acceptance discipline as the US form plus compliance and regulatory obligations.
- **Statement of Work (US)** (SOW, 16 clauses): The project document that sits under an MSA: what is in scope, what is explicitly out, who does what, and when it is accepted. Written so a change in scope goes through a change order rather than an argument.
- **Terms and Conditions (India)** (Terms, 14 clauses): Platform terms for an Indian entity: eligibility, permitted and prohibited use, user-generated content, fees and the disclaimers and indemnities around them.
